1. Introduction

Welcome to Jara Technologies Limited ("Company," "we," "our," or "us"). These Terms and Conditions govern your access to and use of our website and enterprise IT services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services.

2. Services Provided

"Services" refers to enterprise software development, website development, cloud IT infrastructure management, cybersecurity solutions, IT support services, pharma IT compliance, and related technology consulting provided by Jara Technologies Limited.

  • Services will be delivered according to detailed statements of work (SOW) or service level agreements (SLAs) agreed upon between the parties.
  • We reserve the right to modify service methodologies to continuously improve cybersecurity, performance, and efficiency.
  • All timelines provided are estimates unless explicitly confirmed as fixed deadlines in writing.

3. Website Use

By using our website, you agree that:

  • You will use the website for lawful purposes only and in a manner that does not infringe the rights of, or restrict or inhibit the use of, this website by any third party.
  • You will not attempt to gain unauthorised access to our website, servers, or any connected systems.
  • You will not introduce any malicious code, viruses, or other harmful material to our website.
  • The information provided on our website is for general informational purposes and does not constitute professional advice.

4. Intellectual Property

All website content, proprietary software, documentation, branding, and methodologies are owned by Jara Technologies Limited and protected by UK intellectual property laws, including the Copyright, Designs and Patents Act 1988. Clients may not reverse engineer, copy, reproduce, or distribute our proprietary materials without prior written permission.

Clients retain full ownership of their pre-existing data, applications, and intellectual property. Custom software developed exclusively for a client will be subject to intellectual property transfer as defined in individual service contracts or statements of work.

5. Payment Terms

  • Payment terms will be specified in individual service agreements or invoices.
  • Unless otherwise agreed, invoices are payable within 30 days of the invoice date.
  • We reserve the right to charge interest on overdue payments at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.
  • All prices are exclusive of VAT unless stated otherwise.

6. Confidentiality

Both parties agree to keep confidential all information received from the other party that is marked as confidential or that would reasonably be considered confidential. This obligation survives termination of any service agreement for a period of 5 years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Data Protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Full details of how we collect, use, and protect your personal data are set out in our Privacy Policy.

Where we process personal data on behalf of clients as a data processor, we will do so only in accordance with the client's documented instructions and in compliance with applicable data protection legislation. A Data Processing Agreement (DPA) will be provided where required.

8. Limitation of Liability

While we apply stringent enterprise-grade standards to our services, Jara Technologies Limited cannot unconditionally guarantee 100% system uptime, prevention of all zero-day cyber incidents, or recovery of data lost due to external hardware failures prior to our intervention.

To the maximum extent permitted by UK law, our total aggregate liability shall not exceed the amount paid by the client for the specific service rendered in the preceding 12 months.

Nothing in these Terms shall exclude or limit our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability which cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless Jara Technologies Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of our services, or violation of any applicable law.

10. Termination

Either party may terminate service agreements in accordance with the terms set out in the relevant statement of work or SLA. We reserve the right to suspend or terminate access to our website or services immediately if you breach these Terms.

Upon termination, all obligations and liabilities incurred prior to termination shall survive, including payment obligations, confidentiality, and intellectual property provisions.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond their reasonable control, including but not limited to: natural disasters, acts of government, pandemic, power outages, cyberattacks by third parties, or telecommunications failures.

12. Amendments

We reserve the right to update these Terms at any time. Material changes will be posted on this page with an updated revision date. Continued use of our website or services following any changes constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
